Terms of Service
Updated 25 October 2026
1. About these Terms
1.1 These Terms of Service (the “Terms”) govern your use of the Copperhead cloud platform, including the websites at copperhead.sh, app.copperhead.sh and workspaces.copperhead.sh, and the software, features and support made available through them (together, the “Service”).
1.2 The Service is provided by Copperhead Private Limited, a private limited company incorporated in India with CIN U62099KA2026PTC227555, having its registered office at 101, 1st Floor, Abhee Prince Apartment, Bellandur, Bangalore South, Bangalore-560103, Karnataka, India (“Copperhead”).
1.3 You accept these Terms when you create an account or use the Service. If you do not accept them, do not use the Service.
1.4 If you use the Service for an organisation, you accept these Terms on its behalf and confirm that you are authorised to do so. “You” and “your” then include that organisation.
1.5 These Terms take effect on 25 October 2026. Where you and Copperhead have signed a separate written agreement for the Service, that agreement prevails over these Terms if they conflict.
1.6 The open-source copperhead command-line agent is not part of the Service. Its own licence governs its use, as Section 12.2 describes.
2. Definitions
- “Account” means your account on the Service.
- “Organisation” means an organisation in the Service that holds projects, conversations, runs and workspaces, and whose members share access to them.
- “Project” means a design project in the Service, kept either in a Connected Repository or by Copperhead.
- “Connected Repository” means a GitHub repository that you connect to the Service by installing the Copperhead GitHub App.
- “Workspace” means a hosted development environment that the Service runs for you, with a copy of a Project, a code editor and design tools.
- “Your Content” means everything you or your Organisation submit to the Service or create in it, including briefs, messages, instructions, imported designs, files you create or change in a Workspace, the files and history of Projects kept by Copperhead, and the contents of Connected Repositories that the Service reads.
- “Outputs” means the designs, schematics, board layouts, bills of materials, reports, verification records, code, commits, pull requests and other material the Service generates for you.
- “Model Provider” means a third party whose artificial-intelligence models the Service uses to generate responses and Outputs.
3. The Service and eligibility
3.1 The Service. The Service uses artificial-intelligence models and automated design tools to help you specify, design and check printed circuit boards and other hardware. It works on your Projects through conversations, runs and Workspaces.
3.2 Business use. The Service is intended for business and professional use by engineers and organisations.
3.3 Age. You must be at least eighteen (18) years old and able to enter into a binding contract under the law that applies to you.
3.4 Restrictions. You may not use the Service where applicable law, including sanctions or export control law, prohibits you from receiving it.
3.5 Features not yet available to everyone. Some features, such as Workspaces and Projects kept by Copperhead, may not be available to every Account. These Terms apply to them when you use them.
4. Accounts and security
4.1 Signing in. You can sign in with a GitHub account, a Google account or an email address. The Privacy Policy describes the identity data each method shares with Copperhead. Signing in does not give Copperhead access to your repositories. That access comes only from installing the Copperhead GitHub App under Section 7.
4.2 Accurate information. Keep the information in your Account accurate and up to date.
4.3 Security. Keep your sign-in credentials, and the GitHub, Google or email accounts you use to sign in, secure. Do not share your credentials or let anyone else use your Account. You are responsible for activity under your Account, except activity caused by Copperhead’s breach of these Terms.
4.4 Unauthorised access. Tell Copperhead promptly at contact@copperhead.sh if you believe your Account has been accessed without authorisation.
4.5 Organisations. Owners and administrators of an Organisation control its settings, members, Projects, model settings and content. Content you create in an Organisation that has other members stays with that Organisation if you leave it or delete your Account.
4.6 Model Provider keys and accounts. If you add your own API key for a Model Provider, you confirm that you are authorised to use that key with the Service. Copperhead stores the key in encrypted form and uses it only for requests you or your Organisation start, including requests from Claude Code in a Workspace. If you sign Claude Code in with your own Claude account or Anthropic API key in a Workspace, your agreement with Anthropic governs that use. You are responsible for the charges and terms of your account with that Model Provider.
5. Fees and usage limits
5.1 No charge today. Copperhead does not currently charge for the Service. Each Organisation receives a usage allowance, and the Service shows its limits, such as the number of runs and Workspaces that can be active at one time.
5.2 Allowances. Model usage through Copperhead’s own accounts, Workspace starts and other usage the Service shows count against your Organisation’s allowance. Copperhead may stop or refuse runs and Workspaces when an allowance or limit is reached, and may change allowances and limits.
5.3 Your own key. When you use your own Model Provider key or account, the Model Provider charges you directly for that usage.
5.4 Future fees. Before Copperhead charges for any part of the Service, it will publish the fees and update these Terms under Section 18. You will not be charged unless you choose a paid plan.
6. Your Content
6.1 Ownership. As between you and Copperhead, you own Your Content, including your designs and inputs. Copperhead acquires no ownership of it.
6.2 Licence to Copperhead. You grant Copperhead a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, display and adapt Your Content, only as needed to provide, secure, support and maintain the Service for you and as you direct it. This includes sending Your Content to Model Providers, keeping Projects for you and writing Outputs to your Projects and Connected Repositories. Copperhead’s service providers may exercise this licence on its behalf, under obligations consistent with these Terms. The licence ends when Your Content is deleted from the Service, as described in the Privacy Policy.
6.3 Your responsibility. You confirm that you have the rights and permissions needed to submit Your Content and to let Copperhead process it under these Terms. If Your Content includes other people’s personal data, you are responsible for having a lawful basis to share it and for giving any notice the law requires.
6.4 Confidentiality. Copperhead will keep Your Content confidential, limit access to it to personnel and service providers who need it to provide the Service, and not disclose it except as these Terms, the Privacy Policy or the law permit.
6.5 Controlled technical data. The Service is hosted in the United States, and Model Providers may process data in other countries. Do not submit technical data whose export or transfer is controlled under applicable export control law unless that transfer is lawful and you hold any authorisation it requires.
7. Projects and Connected Repositories
7.1 Authorisation. When you install the Copperhead GitHub App on a GitHub account, you authorise the Service to read the repositories you select, and to create repositories, branches, commits and pull requests there when you start a task that needs them.
7.2 Projects kept by Copperhead. A Project that is not connected to GitHub is kept by Copperhead, with its full history. When you approve a change to such a Project, the Service saves it to the Project’s history. Owners and administrators can download that history in a standard format, or move the Project to a GitHub repository when no run or Workspace is using it.
7.3 Your control. Review Outputs written to your Projects and repositories before you merge or rely on them. You can remove the GitHub App at any time in your GitHub settings, which ends the Service’s access to those repositories.
7.4 GitHub. Your use of GitHub is governed by your agreement with GitHub. Copperhead is not responsible for GitHub’s services.
8. Outputs
8.1 Ownership. As between you and Copperhead, you own the Outputs. To the extent Copperhead has any rights in the Outputs, it assigns them to you. This does not transfer any right in the Service itself, or in third-party or open-source material included in the Outputs, which remains subject to its own licence.
8.2 Similar outputs. Artificial-intelligence models can generate similar outputs for other users. Section 8.1 gives you no rights in outputs generated for anyone else.
8.3 Outputs may be wrong. Outputs are generated by artificial-intelligence models and automated tools. They may be incorrect, incomplete or unsuitable for your purpose, even when the Service reports that its checks have passed. Component data, datasheet values, pin assignments, footprints, ratings and prices in Outputs may be out of date or wrong.
8.4 Independent verification. Before you fabricate, assemble, procure components for, certify, sell or otherwise use any Output, a suitably qualified engineer must independently review and verify it, including for electrical correctness, safety, manufacturability and compliance with the standards and laws that apply to your product. You remain responsible for your design and for any product made from it.
8.5 No warranty for Outputs. Copperhead gives no warranty or representation that any Output is correct, complete, manufacturable, safe, fit for a particular purpose, compliant with any standard or law, or free from infringement of third-party rights.
9. Artificial-intelligence models and training
9.1 Model Providers. The Service sends Your Content to Model Providers to generate responses and Outputs. The Service shows which models are available, and whether requests use Copperhead’s provider accounts, your Organisation’s own key or your own account. The Privacy Policy names the Model Providers.
9.2 Training. Copperhead does not use Your Content or Outputs to train artificial-intelligence models, and uses Model Provider services whose terms do not permit the provider to use Your Content to train its models. When you use your own Model Provider key or account, your agreement with that provider governs how it uses your data.
9.3 Service information. Copperhead may use information about how the Service is used, such as run counts, durations, outcomes and error rates, to operate and improve the Service. This information does not include the substance of Your Content.
10. Acceptable use
10.1 You will not, and will not allow anyone else to:
- use the Service in breach of applicable law, or for any unlawful purpose;
- use the Service in breach of applicable export control or sanctions laws, or for any end-use or end-user those laws prohibit, including the design or development of weapons of mass destruction or of military items without the authorisation the law requires;
- submit Your Content, or use Outputs, in a way that infringes the intellectual property, privacy or other rights of any person;
- submit malware, or material designed to disrupt, damage or gain unauthorised access to any system;
- abuse the Service, including by interfering with its operation, overloading it, testing or probing its security without Copperhead’s written permission, or accessing another user’s data;
- use a Workspace for anything other than work on your Projects, such as mining cryptocurrency, hosting services for others, sending unsolicited messages or attacking other systems;
- reverse engineer, decompile or disassemble the Service, except to the extent applicable law or an open-source licence covering the relevant component expressly permits it;
- scrape, crawl or extract data from the Service by automated means, other than through interfaces Copperhead provides for that purpose;
- circumvent or attempt to circumvent usage limits, allowances or access controls, including by creating multiple Accounts; or
- share your credentials, or sell, resell or sublicense access to the Service without Copperhead’s written consent.
10.2 Enforcement. If Copperhead reasonably believes this Section has been breached, it may remove or disable access to the relevant content, stop a Workspace, or suspend your Account under Section 14.
11. Third-party services and software
11.1 The Service works with third-party services, including GitHub for sign-in and repository access, Google for sign-in, and Model Providers. Your use of each is also governed by that third party’s terms and privacy policy.
11.2 A Workspace includes third-party software, such as Claude Code, code-server and KiCad, and lets you install editor extensions from public registries. Each is subject to its own licence and terms. Claude Code is provided by Anthropic and is subject to Anthropic’s terms.
11.3 Copperhead does not control third-party services and software and is not responsible for their availability, security or conduct. If a third party changes or withdraws its service, Copperhead may change or withdraw the related feature.
12. Copperhead’s intellectual property and feedback
12.1 The Service. Copperhead and its licensors own the Service, including its software, documentation, trade marks and design. Subject to these Terms, Copperhead grants you a limited, non-exclusive, non-transferable and revocable right to use the Service for your business purposes while your Account is active. No other right is granted.
12.2 Open-source software. Where Copperhead publishes software under an open-source licence, that licence governs your use of that software to the extent it grants you broader rights than these Terms. The copperhead command-line agent is licensed under the Apache License, Version 2.0.
12.3 Feedback. If you give Copperhead suggestions or feedback about the Service, Copperhead may use them without restriction or payment to you. Feedback does not include Your Content.
13. Personal data
13.1 Copperhead processes personal data in accordance with the Digital Personal Data Protection Act, 2023 and the Privacy Policy.
14. Suspension and termination
14.1 By you. You may stop using the Service at any time, and may delete your Account from your account settings.
14.2 Suspension by Copperhead. Copperhead may suspend your access to all or part of the Service immediately if it reasonably believes that:
- you have breached Section 10 or another material term of these Terms;
- your use creates a security risk, or may harm the Service, other users or third parties; or
- suspension is required by law or by an order of a competent authority.
Copperhead will tell you the reason, unless the law or security reasons prevent it, and will restore access once the reason has been resolved.
14.3 Termination by Copperhead. Copperhead may terminate these Terms and close your Account (a) for a material breach that you have not remedied within fifteen (15) days of notice, or immediately if the breach cannot be remedied, or (b) for any reason on thirty (30) days’ notice.
14.4 Your data. Outputs written to your Connected Repositories remain there and are not affected when your Account closes. Before your Account closes, you can download the files your runs produced from the Service and, if you are an owner or administrator, the history of each Project kept by Copperhead. For thirty (30) days after Copperhead terminates under Section 14.3(b), Copperhead will provide, on request, an export of the rest of Your Content held by the Service in a commonly used format. After your Account closes, Copperhead deletes or retains data as the Privacy Policy describes, including records it must keep by law and verification manifests kept for a fixed period.
14.5 Survival. Sections 6.2, 6.3, 6.4, 8, 12.3, 14.4, 15, 16, 17 and 20 survive termination.
15. Disclaimers
15.1 The Service is provided “as is” and “as available”. To the fullest extent the law permits, Copperhead disclaims all warranties and conditions, express or implied, including those of merchantability, fitness for a particular purpose, accuracy and non-infringement.
15.2 Copperhead does not warrant that the Service will be uninterrupted, error-free or secure, or that it will meet your requirements. Features marked as preview, beta or experimental, and features not yet available to every Account, are provided for evaluation and may change or be withdrawn.
15.3 Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.
16. Limitation of liability
16.1 Excluded losses. Neither you nor Copperhead is liable to the other for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, business, goodwill or anticipated savings, however caused. Copperhead is not liable for the cost of fabricating, assembling, procuring components for, reworking, recalling or replacing any hardware, or for any damage, injury or loss caused by hardware made from Outputs.
16.2 Cap. Copperhead’s total liability arising out of or in connection with these Terms and the Service is limited to the greater of (a) the fees you paid Copperhead for the Service in the twelve (12) months before the event giving rise to the claim, and (b) INR 10,000 (Indian Rupees Ten Thousand only).
16.3 Exceptions. Sections 16.1 and 16.2 do not limit liability for fraud, your indemnity under Section 17.1, your breach of Section 10, or any liability that cannot be limited under applicable law.
17. Indemnity
17.1 You will defend and indemnify Copperhead, its officers, employees and service providers against third-party claims, and the resulting losses, damages, costs and reasonable legal fees, arising from (a) Your Content, (b) your breach of Section 10 or of applicable law, or (c) any product or hardware made, sold or used by you or on your behalf from Outputs.
17.2 Conditions. Copperhead will notify you promptly of a claim, give you control of the defence and settlement, and cooperate reasonably at your cost. You will not settle a claim in a way that imposes an obligation on Copperhead without its written consent.
18. Changes
18.1 Changes to these Terms. Copperhead may update these Terms. It will give at least thirty (30) days’ notice of material changes by email or in the Service before they take effect, unless the law requires a change sooner. If you do not agree to a change, stop using the Service and close your Account before the change takes effect. If you continue to use the Service after the change takes effect, you accept the updated Terms.
18.2 Changes to the Service. Copperhead may change the Service, including by adding or removing features or Model Providers.
19. Grievances and contact
19.1 Grievance Officer. You can send complaints about the Service, these Terms or content on the Service to Copperhead’s Grievance Officer:

20.2 Entire agreement. These Terms, the Privacy Policy and any separate written agreement under Section 1.5 are the entire agreement between you and Copperhead about the Service.
20.3 Severability. An unenforceable provision is read down to the extent needed and the rest remains effective.
20.4 Assignment. You may not assign or transfer these Terms without Copperhead’s written consent. Copperhead may assign them to an affiliate, or to a successor to all or part of its business, on notice to you.
20.5 Events beyond control. Neither you nor Copperhead is liable for delay or failure to perform caused by events beyond their reasonable control.
20.6 No waiver. A delay or failure to enforce a right is not a waiver of it.
20.7 Notices. Copperhead may give you notices by email to the address on your Account or in the Service. You may give notices to Copperhead at contact@copperhead.sh.
20.8 Language. These Terms are written in English. If they are translated, the English version prevails to the extent the law permits.
